These Terms and Conditions (the "Terms") are a binding agreement between you and Atlas Maps LLC ("Atlas Maps," "we," "us," or "our"). They govern your use of the Atlas Maps platform, Atlas Maps 3D, and Atlas Maps Integration services (together, the "Services"). By accessing or using any Service, you agree to these Terms. If you do not agree, do not use the Services.

In plain terms: three products, one company, one set of Terms with product-specific sections. Read the section for the product you are actually using.

1. Overview and Acceptance

These Terms apply across three products under one company:

  • Atlas Maps. Our geo-routing platform, currently in invite-only private beta.
  • Atlas Maps 3D. Our Figma plugin, distributed through the Figma Community.
  • Atlas Maps Integration. Our design-partner engagement services.

Where a section applies to only one product, it is labeled. Everything else applies across all three.

2. Who We Are and Defined Terms

Atlas Maps LLC is a Wyoming limited liability company, registered as a foreign limited liability company in Washington State.

  • "Account" means an Atlas Maps or Atlas Maps 3D account you or your organization create.
  • "Console" means console.atlasmaps.app, the account dashboard where you manage your Account, your API keys, your routing configuration, and your billing. We use "the Console" throughout the rest of these Terms instead of repeating the address.
  • "Business customer" means an organization using the Atlas Maps API under an Account. See Section 4 for the obligations that come with acting as one.
  • "Content" means data, text, designs, or other material you submit to or generate using a Service.
  • "You" means the individual or entity using a Service. If you use a Service on behalf of an organization, you confirm that you have the authority to bind that organization to these Terms.

3. Eligibility

You must be at least 18 years old, or the age of legal majority in your jurisdiction if that is higher, to create an Account or make a purchase. If you use Atlas Maps 3D on behalf of a business, including as a freelancer or sole proprietor, you confirm that you are purchasing and using it for business or trade purposes, not as a consumer. This matters because certain consumer-protection rights, such as digital-content withdrawal rights under UK and EU consumer law, apply to consumer purchases and generally do not apply to business purchases.

4. Atlas Maps (Platform)

4.1 Beta status: please read this before you rely on us

Atlas Maps is currently an invite-only private beta. THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND. We may change, suspend, or discontinue any part of the Service, including specific features, providers, or API endpoints, at any time, with or without notice. We do not guarantee any level of uptime, accuracy, or availability during the beta period. See Section 9 for the full disclaimer, including the limits on what the Service is intended for.

4.2 Waitlist and design partner access

There are two ways to get access during beta:

  • Waitlist (free). Joining the waitlist is not a purchase and does not entitle you to access. It is an expression of interest that we may act on at our discretion.
  • Design partner access (paid). A limited number of design partner slots are available through a paid, refundable first-month deposit, billed through Stripe on the Console. If you are not onboarded within 14 days of your deposit, we refund it in full. Design partner pricing is grandfathered for the length of your participation in the program, subject to the specific terms shown to you at checkout.

We do not offer a money-back guarantee on any Atlas Maps subscription beyond the design partner deposit described above.

4.3 Acceptable use, including geolocation-specific restrictions

You will not use Atlas Maps to:

  • violate any applicable law, including data-protection and location-privacy laws in the jurisdictions where your end users are located;
  • reverse-engineer, scrape, or extract the underlying map-provider data in a way that violates that provider's own terms (see Section 4.4);
  • use precise location data routed through Atlas Maps to build a geofence around a health care facility, a reproductive- or sexual-health-service location, or a similar sensitive location, in a way that would violate Washington's My Health My Data Act or a comparable law in another jurisdiction. If your application does anything geofence-adjacent, you are responsible for your own compliance as the regulated entity for your end users' data. See Section 10;
  • sell or exchange precise geolocation data obtained through the Service for money or anything else of value, regardless of whether your own jurisdiction would otherwise allow it. This restriction has no exception based on the law of your own jurisdiction;
  • exceed rate limits or try to get around usage-based billing; or
  • share your Atlas Maps API keys or credentials, or fail to take reasonable steps to protect them. You are responsible for all activity under your Account and must tell us promptly at security@atlasmaps.app if you think a key or credential has been compromised.

4.4 How liability flows across our map data providers

Atlas Maps sends your requests to a number of third-party map-data providers we work with. Bringing your own API key to a provider ("BYOK") does not remove Atlas Maps from the flow of data. We still route the request. Each provider's own terms set the outer limit on what we can promise you about that provider's handling of your data. You are responsible for following the terms of any provider you configure, in addition to these Terms. Our current map-data providers are: Google Maps, Mapbox, HERE, TomTom, Amazon Location Service (AWS), Azure Maps, MapTiler, Stadia Maps, Geoapify, GraphHopper, and Foursquare. Each provider's terms and privacy policy are published on that provider's own site.

4.5 Fees and payment

Fees for paid Atlas Maps plans are billed through Stripe on the Console. Prices are set out at checkout and in your Console, not in these Terms, so pricing here never goes out of date. See Section 4.2 for the design partner deposit's refund terms. Outside of that deposit, fees are non-refundable except where the law requires a refund. If you have a signed Enterprise agreement with its own uptime commitment, that agreement's terms control for you over the general disclaimer in Section 9.

4.6 Termination

We may suspend or end your Account for violating these Terms, including the acceptable-use restrictions in Section 4.3. You may cancel your Account at any time through the Console. Sections that by their nature should continue after termination, including Section 7, Section 8, Section 9, Section 10, and Section 12, do continue.

5. Atlas Maps 3D (Figma Plugin)

5.1 Figma Marketplace relationship

Atlas Maps 3D is distributed through the Figma Community. We, not Figma, are responsible for the privacy, security, and integrity of the data ("Integration Data") that Atlas Maps 3D processes. Your use of Figma itself stays governed by Figma's own terms. These Terms cover only the plugin.

5.2 License grant and restrictions

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to use Atlas Maps 3D within Figma for your own design work, or, if you confirmed business use under Section 3, your organization's design work. You will not redistribute, sublicense, or resell the plugin; reverse-engineer it except where the law expressly allows it; use it to build a competing product; or use it in a way that violates Figma's Acceptable Use Policy, which applies to your use of Figma alongside these Terms.

5.3 Billing, cancellation, and refunds

Paid Atlas Maps 3D subscriptions are billed through Lemon Squeezy, acting as merchant of record. Lemon Squeezy handles payment processing and invoicing, and, except as this section states otherwise, refunds and billing disputes follow Lemon Squeezy's standard merchant-of-record policies, available through the customer portal linked in your receipt. We have not added an Atlas-specific refund window on top of Lemon Squeezy's policy. You can update your payment method, download invoices, or cancel your subscription at any time through that portal.

5.4 Business purpose representation

As stated in Section 3, if you purchase Atlas Maps 3D on behalf of a business, including as a freelancer or sole proprietor, you confirm that the purchase is for trade or business purposes.

5.5 Bring your own key (Pro plan only)

If you hold an active Atlas Maps 3D Pro subscription, you may connect your own map-provider API key ("BYOK") for use inside the plugin. BYOK is not available on the free plan. As with the Atlas Maps platform under Section 4.4, connecting your own key does not remove Atlas Maps 3D from the flow of your request; we still process it as part of running the plugin. You are responsible for following the terms of any provider whose key you connect, in addition to these Terms. The providers currently available through Atlas Maps 3D BYOK are drawn from the provider set listed in Section 4.4.

6. Atlas Maps Integration (Design Partner Services)

If you engage us through the Atlas Maps Integration intake for a custom implementation, any calculator estimates or quotes from that flow are non-binding. They are a starting point for a conversation, not an offer you can accept. A binding engagement requires a separate signed agreement, such as a statement of work or services agreement, between you and Atlas Maps LLC. Nothing in this section creates an obligation for either party until that separate agreement is signed. Information you share with us through this process is covered by Section 8 below.

7. Intellectual Property

We own all right, title, and interest in the Services, including our software, documentation, and branding, except for Content you submit. You keep ownership of your Content. You grant us a limited license to host, process, and transmit it as necessary to provide the Services you requested. We may use feedback you give us about the Services without restriction or payment to you.

IP infringement defense. We will defend you against a third-party claim that the Service, as we provide it and as you use it under these Terms, infringes that third party's US patent, copyright, or trademark. We will pay damages finally awarded against you as a result, as long as you promptly tell us about the claim, give us sole control of defending and settling it, and reasonably cooperate. This commitment does not cover claims arising from: your Content; your combination of the Service with anything we did not provide; your use of the Service outside what these Terms permit; or your continued use after we have offered a non-infringing alternative. This section is our entire obligation, and your only remedy, for third-party IP infringement claims. Our total liability under this commitment is capped at the amount you paid us in the 12 months before the claim arose.

8. Confidentiality

You may share non-public business information with us. This can happen through the Atlas Maps Integration intake, a design partner engagement, or provider API keys and configuration you give us access to. When you do, we will:

  • use that information only to provide the Services or evaluate the engagement;
  • not share it with third parties, except our personnel, contractors, and subprocessors who need it for those purposes and who owe confidentiality duties at least as strict as this section; and
  • protect it with the same care we use for our own confidential information, and no less than reasonable care.

This duty does not cover information that becomes public through no fault of ours, that we already lawfully knew, that we develop on our own, or that we must disclose by law. Where the law allows it, we will give you notice before disclosing it for that last reason. This section does not limit our rights to your Content under Section 7, or our handling of personal information under our Privacy Policy.

9. Disclaimers and Limitation of Liability

TO THE MAXIMUM EXTENT THE LAW ALLOWS:

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not promise that the Services will run without interruption or error, that they will be secure, or that routing results from any map-data provider will be accurate or complete.

Not for life-safety or mission-critical use. The Services are not built, meant, or approved for situations where a failure, delay, or mistake could cause death, personal injury, or serious harm to property or the environment. Examples include emergency dispatch routing, life-safety navigation, and medical device integration. You agree not to use the Services for those purposes. We disclaim all liability arising from that kind of use.

ATLAS MAPS' TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR (B) ONE HUNDRED US DOLLARS ($100). We are not liable for indirect, incidental, consequential, special, or punitive damages, or for lost profits or lost data, even if we were told this could happen. Nothing in this section limits liability that the law does not allow us to limit, including liability for our own fraud, gross negligence, or willful misconduct, or for death or personal injury our negligence caused, where a limit like this is not permitted. Where a signed Enterprise agreement includes its own service-level commitments and remedies, those terms control for that customer, as described in Section 4.5.

10. Indemnification

You will defend Atlas Maps against, and cover Atlas Maps' resulting claims, damages, and expenses, including reasonable legal fees, arising from: (a) your use of the Services in violation of these Terms, including the acceptable-use restrictions in Section 4.3; (b) your Content; or (c) your violation of any law that applies to your use of the Services, including your duties as a "regulated entity" or the equivalent under any consumer-health-data or location-privacy law that applies to your own end users.

11. Export Control and Sanctions Compliance

The Services may be subject to US export control and economic sanctions laws. You confirm that you are not located in, organized under the laws of, or ordinarily resident in a country or region subject to comprehensive US sanctions or embargo, and that you do not appear on any US government denied-party, restricted-party, or sanctions list. You will not use the Services in violation of any export control or sanctions law, and you will not export, re-export, or transfer any part of the Services to a prohibited destination, entity, or person without the required authorization.

12. Dispute Resolution and Arbitration Agreement

In plain terms: instead of suing us in court, you and Atlas Maps agree to resolve disputes through individual binding arbitration, not as part of a class action. You can opt out within 30 days of first agreeing to these Terms. Small-claims-court disputes are carved out.

Agreement to arbitrate. You and Atlas Maps agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be resolved by binding arbitration, on an individual basis, rather than in court, except as set out below. The arbitration will be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, or, if you are using the Services on behalf of a business, its Commercial Arbitration Rules. The arbitration will be seated in the state identified in Section 13, and the arbitrator's award may be entered as a judgment in any court with authority over the matter.

Class action waiver. You and Atlas Maps each agree to bring claims only as individuals, not as a plaintiff or class member in any class, collective, or representative proceeding. The arbitrator may not combine more than one person's claims.

Opt-out. You may opt out of this arbitration agreement by sending written notice to legal@atlasmaps.app within 30 days of the date you first agreed to these Terms, stating your name, your Account email, and that you opt out of arbitration. If you opt out, disputes will be resolved under Section 13 instead.

Small-claims carve-out. Either party may bring an individual claim in small-claims court instead of arbitration, if the claim qualifies.

California residents. If you are a California resident, nothing in this section is meant to limit any right you have under California law that cannot be waived by agreement, including rights under the California Consumer Legal Remedies Act. This arbitration agreement does not apply to claims for public injunctive relief where California law does not allow arbitration of those claims.

Severability. If the class action waiver in this section is found unenforceable for a particular claim or request for relief, that claim or request must be litigated in court under Section 13, and the rest of this arbitration agreement still applies to any remaining claims.

13. Governing Law and Venue

These Terms are governed by the laws of the State of Wyoming, without regard to its conflict-of-laws rules. For any dispute that is not subject to arbitration under Section 12, including because you opted out or because it is a small-claims or public-injunctive-relief matter, you and Atlas Maps agree to the exclusive jurisdiction of the state and federal courts located in the State of Wyoming.

15. Changes to These Terms

We may update these Terms from time to time. If we make a material change, we will update the "Last updated" date above and, where the law requires it, give you additional notice. Continued use of the Services after a change takes effect means you accept the updated Terms.

16. Miscellaneous

Severability. If any provision of these Terms is found unenforceable, the rest stays in effect. Entire agreement. These Terms, plus any signed agreement under Section 6 and any data processing agreement signed between you and Atlas Maps, are the entire agreement between you and Atlas Maps about the Services, and they replace any earlier agreement on the same subject. Where a signed data processing agreement speaks to the handling of personal information and these Terms do not, the data processing agreement controls for that subject. Assignment. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets. Force majeure. Neither party is liable for a delay or failure to perform caused by something reasonably beyond its control. No waiver. If we do not enforce a provision of these Terms, that does not waive our right to enforce it later. No third-party beneficiaries. These Terms do not give rights to anyone other than you and Atlas Maps, except where they expressly say so. Notices. Legal notices to us go to legal@atlasmaps.app, or by mail to the postal address in Section 17.

Corporate registration. Atlas Maps LLC's registered agent for service of process in Wyoming, its state of formation, is Registered Agents Inc, 30 N Gould St Ste R, Sheridan, WY 82801. Its registered agent for service of process in Washington, where it is registered as a foreign LLC and operates, is Washington Commercial Registered Agent LLC, 100 N Howard ST STE R, Spokane, WA 99201.
